Abstract
The research starts showing the significance of its goal with specific reference to Italian corporate system. In the following chapter the structural and functional characteristics of the "equity-based incentives" are taken into account. The third chapter examines how executives' compensation is regulated in EU. The last chapter focuses on Italian company law and Italian securities regulation concerning equity-based incentives. Some normative considerations complete the thesis.
