La S.R.L. “aperta” tra tutela dell’investitore ed efficienza dell’organismo societario

Abstract
La creazione di categorie di quote e, soprattutto, il compimento di offerte di crowdfunding comporta il potenziale ingresso in una s.r.l. di una moltitudine di soci investitori. Ne consegue il configurarsi di una cosiddetta s.r.l. “aperta”, nella quale insorgono peculiari esigenze di tutela: da un lato, i soci investitori appaiono poco tutelati in una società che, tra l’altro, potrebbe essere priva di un organo di controllo; dall’altro, essi dispongono di prerogative di voice (in primis, il diritto individuale di controllo) così penetranti da poter essere esercitate in maniera “abusiva”, danneggiando l’efficiente funzionamento dell’organismo societario. Il lavoro intende comprendere se la disciplina della s.r.l. “aperta” possa considerarsi mutata rispetto a quella del modello base di s.r.l. Tale mutamento, in parte causato dai nuovi compendi normativi dedicati a questa società nella sua versione “aperta”, potrebbe anche essere determinato dall’applicazione analogica di norme della s.p.a. Il ricorso all’analogia risulta tuttavia dubbio almeno per quei profili che, come i controlli, sono espressamente regolati dalla disciplina della s.r.l. Quindi, si tenta di ricostruire lo statuto normativo della s.r.l. “aperta”, ponendo particolare attenzione alla disciplina della governance e delle prerogative di voice ed exit del socio, nonché valutando il bilanciamento che tale disciplina realizza tra le tutele per gli investitori e la salvaguardia della funzionalità della società.
Creating different types of shares and, even more, offering shares through crowdfunding involves the potential entry of numerous investors into a s.r.l. (the Italian “limited liability company”). This leads to the creation of a so-called “public” s.r.l. (s.r.l. “aperta”), in which particular protection needs arise: on the one hand, investors appear poorly protected in a company that, among other things, may lack the control body; on the other hand, investors have voice powers (above all, the individual right of control) that are so effective that they may be exercised for “abusive” purposes, damaging the efficient functioning of the company. This work aims to understand whether the regulation of the “public” s.r.l. has changed from that of the traditional s.r.l. model. This change is partly caused by the new rules dedicated to “public” s.r.l., but it could also be the result of the analogical application of some rules of the s.p.a. (the Italian “corporation”). However, the use of analogy is doubtful at least for those aspects, such as controls, which are expressly governed by the regulation of the s.r.l. Therefore, this work attempts to reconstruct the legal framework of the “public” s.r.l., paying particular attention to the governance and to the voice and exit powers of the investor, as well as evaluating the balance that this regulation creates between the investor protection and the safeguarding of the company’s functionality.
